5.4 Refunds and Cancellations

IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
The limitations of liability set forth above are fundamental elements of the basis of the bargain between Dewey's Pizza and you. Some jurisdictions do not allow the limitation or exclusion of certain types of damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza and its respective officers, directors, employees, agents, affiliates, successors, and permitted assigns (collectively, "Indemnified Parties") from and against any and all claims, actions, suits, proceedings, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of any applicable law, rule, or regulation;

You further agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
These Terms and your relationship with Dewey's Pizza shall be subject to applicable consumer protection laws enforced by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 41 et seq.), as well as any applicable state consumer protection statutes.
15. Dispute Resolution and Arbitration
15.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Services (collectively, "Dispute") informally by contacting Dewey's Pizza at [email protected]. We will make good-faith efforts to resolve the Dispute within thirty (30) days of receiving notice. 15.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except for disputes involving claims for injunctive or other equitable relief, or claims related to intellectual property infringement, you and Dewey's Pizza agree to resolve any Dispute through binding individual arbitration rather than in court. This means you waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.
Arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA) or JAMS, as mutually agreed. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
15.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. If a court or arbitrator finds that the class action waiver in this section is unenforceable with respect to any claim, then the arbitration provision shall not apply to that claim, and that claim shall be resolved in court.
15.4 Small Claims Court
Notwithstanding the foregoing arbitration agreement, either party may bring an individual claim in small claims court if the claim qualifies under the applicable rules of that court.
16. Term and Termination
These Terms shall remain in full force and effect for as long as you use the Website or Services or maintain an account with Dewey's Pizza. We may, in our sole discretion, terminate or suspend your access to the Website or Services, with or without notice and with or without cause, including but not limited to situations where:
- You have violated any provision of these Terms;
- Your conduct poses a risk to other users, our employees, or third parties;
- You engage in fraudulent, abusive, or otherwise illegal activity;
- We are required to do so by law or regulatory order; or

18. Severability

A failure or delay by Dewey's Pizza to exercise any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict further exercise of that or any other right or remedy.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by Dewey's Pizza on the Website, shall constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Website and Services, and supersede all prior and contemporaneous understandings, representations, and agreements, whether oral or written, relating to the subject matter hereof.
No amendment to or modification of these Terms shall be binding unless made in writing and signed by an authorized representative of Dewey's Pizza. These Terms may not be modified by any oral communication.
20. Force Majeure
Dewey's Pizza shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, storm, hurricane, pandemic, epidemic, government orders or restrictions, labor disputes, war, terrorism, infrastructure failures, internet outages, or supply chain disruptions. In such circumstances, our obligations under these Terms will be suspended for the duration of the force majeure event.
21. No Agency or Partnership
Nothing in these Terms shall be deemed to create any agency, partnership, joint venture, employment, or franchise relationship between you and Dewey's Pizza. You do not have the authority to make any representations, commitments, or contracts on behalf of Dewey's Pizza, and nothing in these Terms shall be construed to give you such authority.
22. Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the prior written consent of Dewey's Pizza. Any purported assignment in violation of this section shall be null and void. Dewey's Pizza may freely assign these Terms or any of its rights or obligations hereunder without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
